These Terms do not grant you any right, title, or interest in the Services or our content, nor any intellectual property rights except for the limited license expressly set forth below.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use.

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO WUFFMEOW DURING THE SIX (6) MONTH PERIOD PRIOR TO SUCH CLAIM, OR (B) $100.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless WuffMeow, our affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

Your violation of these Terms
Your User Content
Your use of the Services, including, but not limited to, any use of the Services’ content, services, and products other than as expressly authorized in these Terms

10. DISPUTE RESOLUTION

10.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than Florida.

10.2 Venue

Any legal action or proceeding relating to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in Miami-Dade County. You agree to submit to the personal jurisdiction of such courts.

10.3 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

11. GENERAL PROVISIONS

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and WuffMeow concerning your use of the Services.

11.2 No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

11.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or deleted if no such modification is possible, and the remaining provisions of these Terms will continue in full force and effect.

11.4 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent but may be assigned by us without restriction and without notice to you.

12. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new “Last Updated” date. Your continued use of the Services following the posting of any changes constitutes your acceptance of such changes.
